1. Acceptance of Terms.
The INIT Innovations In Transportation, Inc. (“INIT”) Customer Portal connects transit professionals with peers and INIT experts, creating a collaborative space to explore projects, share information, experiences, and to access updates, feature announcements, and best practices.
By accessing or using the INIT Customer Portal (the “Customer Portal”), you agree to be bound by the applicable terms, conditions, and notices. Continued use of the Customer Portal constitutes acceptance of these terms without modification. If you do not agree to the terms, please refrain from using the Customer Portal.
2. Modification of these Terms of Use.
INIT reserves the right to modify these terms, conditions, and notices at any time, in its sole discretion. Changes will be posted on the Customer Portal, and your continued use after such posting means that you accept and agree to the changes.
3. Eligibility.
You may not use the Customer Portal and may not accept the Terms of Use (the “Terms”) if you are a person barred from using services that INIT provides under the laws of any country in which you are resident.
4. Data Disclosure.
INIT reserves the right to disclose aggregated data, or information or statements we publish without attribution to any identifiable individual, or specific data or statements that you separately and specifically agree we can share with the larger public or media, without infringing upon the user’s confidentiality.
5. Links to third-party sites.
The Customer Portal may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of INIT, and INIT is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. INIT is not responsible for webcasting or any other form of transmission received from any Linked Site. INIT is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by INIT of the site or any association with its operators.
6. No unlawful or prohibited use.
You agree to use the Customer Portal only for lawful purposes and in accordance with these Terms. You may not use the Customer Portal in any manner, which could damage, disable, overburden, or impair the Customer Portal or interfere with any other party’s use and enjoyment. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Customer Portal, including, but not limited to, data mining, robots, or similar data gathering and extraction tools.
7. Passwords and account security.
You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Customer Portal. Accordingly, you agree that you will be solely responsible to INIT for all activities that occur under your account. If you become aware of any unauthorized use of your password or of your account, you agree to notify INIT immediately at here. Notification does not obligate INIT to take any action but may assist in maintaining the security of the Customer Portal.
8. Use of communication services.
The Customer Portal may contain bulletin board services, chat areas, news groups, forums, commentary services, communities, personal web pages, calendars, membership directory, and/or other message or communication facilities (collectively, “Communication Services”) designed to enable you to communicate with an individual or with a group. You agree to use the Communication Services only to post, send, and receive messages and material that are proper and related to the particular Communication Service. To use the Communication Services you represent and warrant that you are at least of 18 years of age.
By way of example, and not as a limitation, you agree that when using a Communication Service, you will not:
INIT cannot verify the accuracy of statements that users make or place on or through the Communication Services and does not guarantee that any User Materials have been submitted with the permission of the copyright or proprietary owner or are otherwise in compliance with these Terms.
However, INIT reserves the right to:
INIT does not control or endorse the content, messages, or information found in any Communication Service and, therefore, INIT specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service.
Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction, and/or dissemination. You are responsible for adhering to such limitations if you download the materials.
9. Materials provided to INIT or posted to the Customer Portal.
INIT does not claim ownership of the materials you provide to INIT (including feedback and suggestions) or post, upload, input, or submit to the Customer Portal (collectively “Submissions”). However, by posting, uploading, inputting, providing, or submitting your Submission you are granting INIT and necessary sub-licensees permission to use your Submission in connection with the operation of their businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your Submission; none of which will reveal your name in connection with your Submission.
No compensation will be paid with respect to the use of your Submission, as provided herein. INIT is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in INIT’s sole discretion.
By posting, uploading, inputting, providing, or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input, or submit the Submissions.
10. Termination/access restriction.
INIT reserves the right, in its sole discretion, to edit, refuse to post, or remove any information or materials, in whole or in part, or to terminate your access to the Customer Portal and the related services or any portion thereof at any time, without notice.
11. Liability disclaimer.
THE CUSTOMER PORTAL AND ITS CONTENT ARE PROVIDED “AS IS” AND INIT EXCLUDES TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY OR FITNESS FOR A SPECIFIC PURPOSE. INIT DOES NOT WARRANT THAT THE CUSTOMER PORTAL WILL PERFORM WITHOUT INTERRUPTION OR ERROR AND DOES NOT WARRANT THAT IT WILL SATISFY ANY PARTICULAR PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INIT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE CUSTOMER PORTAL.
Except as specifically stated in these Terms, or as otherwise required by applicable law, neither INIT nor its directors, employees, content providers, affiliates, or other representatives will be liable for damages of any kind (including, without limitation, lost profits, direct, indirect, compensatory, consequential, exemplary, special, incidental or punitive damages) arising out of your use of, inability to use, or the performance of this portal or its content, whether or not we have been advised of the possibility of such damages. INIT uses reasonable efforts to ensure the accuracy, correctness, and reliability of the content, but we make no representations or warranties as to the content’s accuracy, correctness or reliability.
Some US states and foreign countries do not permit the exclusion or limitation of implied warranties or liability for certain categories of damages. Therefore, some or all of the limitations above may not apply to you to the extent they are prohibited or superseded by state or national provisions.
12. Indemnification.
Except as prohibited by law, you agree to indemnify, defend, and hold harmless INIT and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs and expenses (including attorneys’ fees) arising out of or in any way connected with: (i) your use of and access to the Customer Portal; (ii) your violation of any of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party. This indemnification obligation applies to both actual and alleged violations and will survive the termination of these Terms and your use of the Customer Portal.
13. Digital Millennium Copyright Act (DMCA) notices.
INIT respects the intellectual property of others and expects users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide INIT’s Office of General Counsel the following information:

INIT makes no claims regarding access or use of the Customer Portal or INIT content outside of the United States. If you use or access the Customer Portal or INIT content outside of the United States, you are responsible for compliance with the laws and regulations of your jurisdiction as well as these Terms of Use.
15. Privacy and personal information.
For information about INIT data protection practices, please read INIT’s Privacy Policy. This policy explains how INIT treats your personal information and protects your privacy when you use the Customer Portal. By using the Customer Portal, you agree to the use of your data in accordance with INIT’s Privacy Policy.
16. General terms.
These Terms constitute the entire legal agreement between you and INIT and govern your use of the Customer Portal, excluding any services which INIT may provide to you under a separate written agreement. They supersede any prior agreements between you and INIT regarding the Customer Portal.
You acknowledge and agree that your access to or use of the Customer Portal, including any data, documentation, specifications, or other materials made available through it, shall not be used to gain an unfair competitive advantage in any current or future procurement, solicitation, or contracting process. Participation in such processes must comply with all applicable laws, regulations, and ethical standards. You further agree not to use any non-public, procurement-sensitive, or source selection information obtained through the Customer Portal to prepare or submit an offer, proposal, or bid. Any violation of this provision may result in termination of access and any other remedies available under applicable law.
You acknowledge that the form and nature of the Customer Portal may change from time to time with or without prior notice to you. INIT may discontinue (permanently or temporarily) providing the Customer Portal at its sole discretion, without prior notice to you. You may stop using the Customer Portal at any time without notifying INIT.
IF INIT disables access to your account, you may be prevented from accessing the Customer Portal, your account details, or any content contained in your account.
Unless specifically permitted in a separate agreement with INIT, you may not reproduce, duplicate, copy, sell, trade, or resell any information from the Customer Portal, including data supplied by other customers. You agree that you are solely responsible for any breach of your obligations under the Terms and any resulting damage to INIT.
INIT may impose limits on the number of transmissions you may send, receive, or store through the Customer Portal at any time.
Unless INIT has given you specific written permission to do so, you may not assign, sublicense, or transfer your rights to use the Customer Portal. You may not share your password or access credentials with unauthorized users.
If a dispute arises under these Terms, the parties agree to attempt to resolve it by meeting and conferring before pursuing other forms of dispute resolution.
These Terms and your relationship with INIT shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of laws provisions. You agree to submit to the exclusive jurisdiction of the Circuit Court in the City of Chesapeake, Virginia or the United States District Court for the Eastern District of Virginia, Norfolk Division to resolve any disputes.
If any provisions of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
INIT shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, governmental actions, or internet service interruptions.
These Terms are effective as of November 5, 2025.

At INIT Innovations In Transportation, Inc. (“our” or “we” or “us”), we respect your privacy and are committed to protecting it and maintaining the integrity of any personally identifiable information (“Personal Data” or “Personal Information”) we collect about you. Personal Information is information about an identified or identifiable person, i.e., information which can be traced back to an individual. This includes names, addresses, e-mail addresses or telephone numbers, as well as information about preferences, hobbies, memberships or website access, and certain information about your IP address and browser. The purpose of this Privacy Policy (“Privacy Policy”) is to disclose how we collect, use, and disclose Personal Information, our purpose for collecting Personal Information, and to inform you of the steps we take to keep your Personal information confidential.

Children
The Customer Portal is not intended for use by individuals under eighteen (18) years of age. No one under 18 may provide any information to or on the Customer Portal. We do not knowingly collect personal information from individuals under age 18. If you are under 18, do not use or provide any information on the Customer Portal or on or through any of its features. If we learn we have collected or received personal information from an individual under 18 without verification of parental consent, we will delete that information. If you are under 18 and believe we might have collected information from or about you on the Customer Portal, please have your parent(s) or guardian(s) contact us.
Information Collected Through Automatic Data Collection
As you navigate through and interact with the Customer Portal, we use automatic data collection methods to collect certain information about your equipment, browsing actions, and patterns including:
Details of your visits to the Customer Portal, including traffic data, location data, logs, and other communication data and the resources that you access and use on the Customer Portal such as downloading videos and viewing videos.

Your employer. Depending on the contractual relationship between INIT and the relevant transit agency, the relevant data may already be owned by the transit agency.

To the extent that those third-party providers have separate privacy policies, those policies may apply.
Third parties to whom we are obliged to send information, including public authorities, law enforcement officials, judges and courts if we are required to do so by a court of competent jurisdiction, or other legal or regulatory authority, and in order to comply with the requirements of these authorities and the applicable international, federal, state, or local laws, where appropriate, and, if there is a good faith belief, and reliance on said belief, that disclosure is necessary to comply with any legal process served on us.
